Terms of use

These terms govern your use of this website and, where you are given access, the LogicOS client portal. Using either means you accept them. A separate written agreement governs any paid engagement and prevails over these terms where they conflict.

Access is by invitation

The platform and our managed store services are offered to invited clients only, subject to qualification criteria and available capacity. Submitting an enquiry does not create an agreement, and we may decline any enquiry at our discretion.

No guarantee of results

We provide software, training, and services. We do not promise, and nothing on this site should be read as promising, any level of sales, revenue, or profit. Online retail carries risk, including loss of the capital you put into inventory. You are responsible for your own business decisions, including what you buy, what you list, and how you price it. See our disclosures.

Your responsibilities

• Keep your credentials secure and accurate.
• Comply with the rules of any marketplace you sell on, including eBay’s policies, and with all applicable laws, including consumer protection, tax, and product safety requirements.
• Ensure you hold the rights to any content, imagery, or brand you list.
• Do not use the service to sell counterfeit or prohibited goods.

You remain the seller of record for your store and remain responsible for its compliance, whether you operate it yourself or we operate it for you.

Acceptable use

Do not reverse engineer, resell, or scrape the platform, attempt to access other users’ data, or interfere with its operation. We may suspend access for conduct that risks the service or other users.

Intellectual property

The platform, the site, and their content are owned by us or our licensors. Access grants you a limited, non-exclusive, revocable right to use the platform for your own business, and nothing more. Your business data remains yours; you grant us the licence needed to operate the service for you.

Third-party services

The platform connects to services we do not control, including eBay and Google. Their availability, terms, and changes are their own, and we are not responsible for their acts or outages. We are not affiliated with or endorsed by eBay Inc.

SMS terms

Program. Logical Enterprises Messaging. By ticking a messaging consent box on our contact form, you agree to receive text messages from Logical Enterprises LLC at the mobile number you provide. Consent to service messages and consent to marketing messages are given separately, and neither is a condition of any purchase.

Message types. Service messages relate to your enquiry, your account, and the operation of your store. Marketing messages promote our products and services, and are sent only if you separately consented to them.

Frequency and cost. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Consent is not a condition of any purchase.

Opting out. Reply STOP to any message to stop all further messages. You will receive a single confirmation, after which no more will be sent. Reply HELP for help, or contact us at support@logicalenterprises.ai.

Carriers. Mobile carriers are not liable for delayed or undelivered messages. Delivery is subject to your carrier and your device, and is not guaranteed.

Privacy. No mobile information will be sold or shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties. See our privacy policy.

Fees

Fees, billing period, and cancellation terms are set out in your written agreement. [Refund policy].

Disclaimer and liability

The service is provided “as is”, without warranties of any kind to the fullest extent permitted by law. To the extent permitted by law, we are not liable for lost profits, lost revenue, lost data, or indirect or consequential loss, and our total liability is limited to the amounts you paid us in the twelve months preceding the claim. Nothing here limits liability that cannot be limited by law.

Termination

Either party may end an engagement in line with the written agreement. We may suspend or end access immediately for a material breach of these terms.

Governing law

These terms are governed by the laws of the State of California, without regard to its conflict of laws rules, and the state and federal courts located in Orange County, California have exclusive jurisdiction.

Changes

We may update these terms and will revise the date above. Continued use after a change means you accept the updated terms.
